These Packs Ecosystem Terms of Use (these “Packs Ecosystem Terms”) describe your rights and responsibilities with respect to your use of Packs as part of the Services. “You” or “your” or any variant thereof refers to you, if you are an individual entering into these Packs Ecosystem Terms on your own behalf, or the entity or other organization that you represent in agreeing to these Packs Ecosystem Terms. “Coda”, “We”, “our”, or “us” refers to Coda Project, Inc. (or its successors or assigns).
These Packs Ecosystem Terms supplement and form a part of Coda’s
and are incorporated by reference therein, and, if applicable, into such other agreement that you have entered into with Coda that governs your use of the Services or the Packs.
By placing an Order for a Pack, you indicate your assent to be bound by these Packs Ecosystem Terms. If you do not agree to these Packs Ecosystem Terms, do not place an Order for or use any Packs.
General Provisions
Types of Packs. As part of your use of the Services, you may have access to Packs. Packs may be made available to you via the Services, including on Coda’s Gallery, or such other webpage, marketplace, application, method, or venues on which Coda may make available or offer Packs from time to time. Some Packs are made available at no charge, and others require payment of fees.
Pack Developers. The listing for each Pack will identify the developer and/or provider of the Pack (“Developer”), which may be Coda or a third party. Packs for which Coda is the Developer are “Coda Packs,” and Packs for which the Developer is a third party are “Third Party Packs”. Most Developers are third parties who create, own and are responsible for their own Packs as further described in these Packs Ecosystem Terms.
Your Orders
Orders. “Order” as used herein means any order, purchase, installation, trial, download, use or enablement of a Pack (including renewals and upgrades). Generally, each Pack will identify the Developer, your authorized scope of use of the Pack, any applicable fees, and license or subscription term, as applicable.
Pricing and Payment. Any applicable pricing and billing terms will be determined and set by the Developer of the Pack. Payments are non-cancelable and non-refundable. Fees are stated exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). You will be responsible for paying all Taxes associated with your purchases, except for those taxes based on our net income. For any Third Party Packs, you acknowledge and agree that Coda is the Developer’s agent and that you are required to make any related payments directly to Coda. Except with respect to Coda’s collection of payment for your Order, your usage of any Third Party Packs will be governed by the applicable End User Terms, as described in Section 3. Pricing for Packs are subject to change (including a free Pack becoming a paid Pack). Any Developer, including Coda, may modify the price of a Pack at any time; provided, that any such modification may be subject to minimum notification and grace periods.
Payment Warranties and Covenants. You represent and warrant that: (a) any account, order, and payment method information you supply to us or our service provider(s), as applicable, is true, correct, and complete; (b) you are duly authorized to use such payment method; (c) you will pay any charges that you incur in connection with the Packs, including any applicable taxes; (d) charges incurred by you will be honored by your payment method company; (e) you will pay all charges incurred by you at the posted prices, including all applicable taxes, if any; (f) you will not allow anyone else to use your subscription; (g) you will not transfer your subscription or password to anyone else; and (h) you will report to us any unauthorized or prohibited access or use of your subscription or password. If any of your account, order, or payment method information changes, you agree to promptly update this information, so that we or our service provider(s) may complete your transactions and contact you as needed. We are not liable for any unauthorized use of your credit card, debit card, or other payment method by a third-party in connection with your use of Packs or your subscription.
Trials. Developers may, at their discretion, provide trials, trial periods, discounts, temporary access, or other limited functionality or limited time-based offerings of their Packs. Developers are under no obligation to provide or maintain such offerings, and Coda further reserves the right to suspend or disable any such offerings in the event that Coda reasonably suspects or confirms any abuse or exploitation of the benefits of such offerings.
Cancellations. You may cancel your subscription to a Pack at any time, and such cancelation will disable the Pack in any of your docs. You will not receive a refund for any pro-rated amount of your remaining billing cycle.
External Payment Packs. While most Packs are Ordered and provided through the Services as contemplated in these Packs Ecosystem Terms, some Third Party Packs may be paid for and/or required to be activated or enabled through or in connection with other external means, including, without limitation, through third-party websites, use of third-party credentials or activation codes, or alternative methods that are not provided by Coda or administered as part of the Services (“External Payment Packs”). With respect to External Payment Packs, the above provisions of this Section 2 will not apply, and Coda is not responsible for any inquiries, requests, refunds, reimbursements, or any other recourse you may seek with respect to fees, payment, or access relating thereto.
Use of Packs
End User Terms. Without limiting the disclaimers, restrictions or other provisions in these Packs Ecosystem Terms, usage of Packs is subject to the license or subscription terms, privacy policies and other applicable terms specified by the Developer (“End User Terms”), including any usage limits described therein. End User Terms are typically included on the Pack’s listing page or presented through the Order process. You may not use a Pack if you do not agree to the relevant End User Terms.
Third Party Packs. Third Party Packs are subject to the third party’s End User Terms. By ordering, installing or enabling any Third Party Pack, you are entering into the End User Terms directly with the applicable third party Developer. Coda is not a party to, or responsible for compliance with, any third party End User Terms, and does not guarantee any third party End User Terms are adequate for your own needs. To the extent that a third party Developer does not supply their own end user terms, you expressly agree that Default EULA terms located at
Coda Packs. If Coda is the Developer of the Pack, the Default EULA shall apply unless other terms are provided by Coda.
Support and Maintenance.Any support and maintenance of Third Party Packs will be provided by the applicable Developer and only to the extent described in the applicable End User Terms. Coda is not responsible for any support and maintenance for Third Party Packs, and a Developer’s failure to provide any support or maintenance does not entitle you to any refund. If Coda is the Developer, it will provide any support and maintenance in accordance with Coda’s
Reservation of Rights.Except for the rights explicitly granted to you in these Packs Ecosystem Terms and in the End User Terms for each Pack, all right, title and interest (including intellectual property rights) in the Packs Ecosystem are reserved by Coda, and all right, title and interest (including intellectual property rights) in the Packs are reserved and retained by their respective Developers and licensors. Packs are provided on a license or subscription basis, not sold, and you do not acquire any ownership rights in the Packs Ecosystem or any Packs.
Data Collection and Sharing
Order Information.If you Order a Pack, Coda may provide the Developer with certain information about you and your workspace, such as your name, your entity’s name (if applicable), addresses (including e-mail address), and phone number.
Third Party Developer Use of Data. You acknowledge and agree that your download, installation, enablement, or use of any Third Party Packs is at your own discretion and by doing so, you authorize Coda to provide, process, and transmit videos, images, music, comments, questions, documents, spreadsheets, Templates, and any other content submitted, posted, displayed, provided or otherwise made available by you and your Authorized Users through the Services (“User Content”), which may include information relating to identified or identifiable natural persons protected as “personal data” or “personally identifiable information” under applicable data protection or privacy laws or regulations (“Personal Data”) and information on your account on the Services and credentials, as requested by developer or provider of the Pack, including, without limitation, for purposes of enabling the Developer thereof to support, troubleshoot, and/or debug any issues with the applicable Pack. This may include transmitting, transferring, modifying or deleting such data, or storing such data on Developer or third party systems. Coda is not responsible for any access to or use of User Content by third party providers or their products or services, or for the security or privacy practices of any third party provider or its products or services. It is your responsibility to carefully review the End User Terms. You are solely responsible for your decision to permit any third party Developer or Third Party Pack to access or use data, including User Content, to which you’ve granted access.
Analytics and Usage Data.In addition, you authorize the Developer and Coda (if Coda is not the Developer) to collect and use technical data and related information (including technical information relating to your device, system, and the Pack), in non-personally identifiable form, to facilitate the provision of software updates, product support, marketing efforts and other services to you related to the Pack. Developer and Coda (if Coda is not the Developer) may each use this information, as long as it is in a form that does not personally identify individual users, to improve their respective products or to provide services or technology to you (including with respect to Coda, the Packs Ecosystem or the Services).
Reviews of Packs
General.Coda may allow users to post reviews (e.g., a star rating or a “like”) of Packs and to post comments on your or other users’ reviews.
User Names Displayed.Reviews and comments are posted under the name and profile of the user submitting the content (as listed in his or her Coda account).
Rules for Reviews.All reviews and comments must comply with Coda’s rules on User Content in Coda’s
and the terms below. To make your reviews and comments useful to others:
Reviews must be made in good faith after reasonable evaluation of the relevant Pack.
Users may post only one review per Pack, unless the latter review reflects a good-faith rating change based on further evaluation. Any modified reviews will be marked as “edited”.
You (including anyone acting on your behalf) may not review or comment on your own Pack, a Pack owned by a company you work for, or those of competitors. As an exception, you may provide informational responses to support requests or other inquiries directed to you within the reviews or comments section of your Pack listing.
A review must evaluate the Pack itself and not be an evaluation of the underlying product with which the Pack integrates or functions.
Reviews or comments unrelated to the relevant Pack are prohibited – for example, discussing Coda’s employees, business or stock, or those of other companies, or unrelated products or services.
Coda Rights.Coda reserves the right, in its sole discretion and for any reason at any time, to remove or edit any review or comment. Coda does not claim ownership of the content of reviews or comments you post. However, you hereby grant Coda a nonexclusive, worldwide, irrevocable, perpetual, transferable, sublicenseable (through multiple tiers), fully paid-up, royalty-free license to use, distribute, reproduce, modify, excerpt, attribute, adapt, publicly perform and publicly display that content (in whole or in part) and to incorporate it into other works in any format or medium now known or later developed, and to permit others to do so.
Your Responsibilities
Representations and Warranties.You (including anyone acting on your behalf) represent and warrant that you have all necessary right, power and authority (i) to enter into and be legally bound by these Packs Ecosystem Terms, (ii) to place any Orders, and (iii) and to authorize Developers to access and use your data and information as described in Section 4, all without violation of any other agreements or policies.
Compliance with Law and Reservation of Rights. You must use the Packs Ecosystem and Packs in compliance with all applicable laws.
Indemnification. You agree to indemnify, defend (at Coda’s request) and hold harmless Coda, its affiliates, and its and their officers, agents and employees from any claims by third parties, and any related damages, losses or costs (including reasonable attorney fees and costs) arising out of your violation of these Packs Ecosystem Terms or the applicable End User Terms, your violation of any rights of a third party, or any content you submit to or publish as part of the Services. You may not settle any such claim without Coda’s prior written consent.
Disclaimers
THIRD PARTY PACKS DISCLAIMER. MOST PACKS ARE THIRD PARTY PACKS AND ARE DEVELOPED BY PARTIES OTHER THAN CODA. THIRD PARTY PACKS ARE NOT PART OF THE SERVICES. CODA DOES NOT ENDORSE, WARRANTY, GUARANTEE, OR ASSUME RESPONSIBILITY FOR SUCH PACKS, INCLUDING, WITHOUT LIMITATION THAT SUCH PACKS WILL FUNCTION PROPERLY WITH THE SERVICES, THAT SUCH PACK WILL REMAIN AVAILABLE OR SUPPORTED BY THE DEVELOPER OR WITH RESPECT TO SECURITY, DATA HANDLING AND DATA PROCESSING. THESE DISCLAIMERS APPLY EVEN IF A PACK COMPLIES WITH CODA’S
, AND EVEN IF CODA HAS REVIEWED, CERTIFIED OR APPROVED THE THIRD PARTY PACK (THOUGH CODA MAKES NO COMMITMENT TO REVIEW ANY PACK). THE AVAILABILITY OF THIRD PARTY PACKS OR SERVICES ON OR WITH THE SERVICES, OR THE INTEGRATION OR ENABLING OF SUCH THIRD PARTY PACKS OR SERVICES WITH THE SERVICES DOES NOT CONSTITUTE OR IMPLY AN ENDORSEMENT, AUTHORIZATION, SPONSORSHIP, OR AFFILIATION BY OR WITH CODA. ANY USE OF THIRD PARTY PACKS IS AT YOUR SOLE DISCRETION AND RISK. CODA SHALL HAVE NO LIABILITY WITH RESPECT TO YOUR USE OF ANY SUCH PACKS AND YOU SHALL LOOK SOLELY TO THE DEVELOPER THEREOF WITH RESPECT TO ANY DAMAGES, CLAIMS, OR SUPPORT THEREFOR, AND CODA IS NOT OBLIGATED TO INTERVENE IN ANY DISPUTE ARISING BETWEEN YOU AND A THIRD PARTY DEVELOPER. PACKS MAY ALSO CONTAIN, PROCESS, TRANSMIT, PULL, EXTRACT, CONSUME OR OTHERWISE TAKE ACTIONS THAT INTERACT WITH THIRD PARTY CONTENT OR THIRD PARTY SERVICES. CODA DOES NOT GUARANTEE THE AVAILABILITY OR SECURITY OF THIRD PARTY SERVICES. YOU ACKNOWLEDGE THAT CODA MAY DISABLE ACCESS TO ANY THIRD PARTY SERVICES AT ANY TIME IN ITS SOLE DISCRETION AND WITHOUT NOTICE TO YOU. CODA IS NOT RESPONSIBLE OR LIABLE TO ANYONE FOR DISCONTINUATION OR SUSPENSION OF ACCESS TO, OR DISABLEMENT OF, ANY THIRD PARTY SERVICE. IN ADDITION, CODA IS NOT RESPONSIBLE FOR ANY THIRD PARTY WEBSITES, CONTENT OR SERVICES TO WHICH ANY PACK OR DEVELOPER LINKS OR SUCH PACK’S TERMS OF USE OR PRIVACY POLICIES. YOU SHOULD USE YOUR DISCRETION WHEN VISITING OR ENGAGING WITH ANY THIRD PARTY WEBSITES OR CONTENT.
Modification, Removal. At any time, Developers may update, modify, disable, or remove their own Packs at any time. If a Pack is removed from the Services, it will be removed from any of your docs, and all usage of the Pack will be disabled. Coda shall also have the right to update, modify, disable, or remove any Pack from the Services at time, including, without limitation, for reasons relating to abuse, security, infrastructure, load, support, troubleshooting, non-compliance, abuse, misuse, or fraud.
Interoperability. Coda makes no guarantee that any Packs will work properly with Services or that Packs will continue to work with Services as they change over time. Some Packs rely on hosted or cloud services provided by the Developer or third parties, and these Packs may not function properly or may become inoperable if those services are modified or discontinued.
Disclaimer of Warranties.To the maximum extent permitted by law, Packs and all related components and information are provided on an “as is” and “as available” basis without any warranties of any kind, and Coda expressly disclaims any and all warranties, whether express or implied, including the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. You acknowledge that Coda does not warrant that the Services or any Packs will be uninterrupted, timely, secure, or error-free. You may have other statutory rights, in which case the duration of any statutory warranties will be limited to the maximum extent permitted by law.
Reliance. The disclaimers set forth in these Packs Ecosystem Terms apply with respect to all legal theories, whether in contract, tort or otherwise, and to the extent permitted by law. Such provisions allocate the risks relating to the Packs Ecosystem between the parties, and the parties have relied on these limitations in determining whether to use the Services and/or Order Packs.
