Purchase price: €665k (~4.5× EBITDA).
Defensible vs AI, sticky customers, loyal workforce, manager ready to lead.

4. Investment Terms

Raise: €65k (final close).
Security: 11% equity in target (uplifted vs ~9% normal).
Minimum ticket: €10k.
Financing: equity + vendor finance + ~€282k debt (50% Finnvera guarantee).
Closing: ready to sign, subscriptions close by end of August.

5. Returns & Exit

Target returns: 4–5× over 12–14 years (~11–13% IRR).
Liquidity: investor buybacks from free cash flow starting ~year 7.
Alignment: every € returned = more equity transferred to employees.
