Applies to: Any AI Agent developed by SimplaDocs that operates within third-party platforms
1. Introduction
These Terms of Service (“Terms”) govern your use of AI agents developed by SimplaDocs LLC (“SimplaDocs,” “we,” “us,” or “our”). By using any SimplaDocs-developed agent within a third-party platform, you agree to these Terms. If you do not agree, do not use the agent.
SimplaDocs may update these Terms at any time. Continued use of the agent after such updates constitutes your acceptance of the revised Terms.
2. Description of the Service
SimplaDocs develops AI agents that run on infrastructure operated by third-party platforms such as Grammarly. These agents enable productivity, automation, and AI-assisted workflows but are executed entirely within the host platform’s environment.
SimplaDocs does not host or control the underlying infrastructure, user accounts, or data handling processes. Use of the agent is subject to both these Terms and the host platform’s own terms of service.
3. Eligibility
You must be at least 18 years old and have the legal authority to accept these Terms on behalf of yourself or your organization.
4. Access and Accounts
Access to the agent is provided through the host platform (e.g., Grammarly). Account creation, authentication, and permissions are managed solely by that platform. SimplaDocs does not issue or control user accounts.

You agree not to:
SimplaDocs reserves the right to impose reasonable usage limits or suspend access if misuse or abuse is detected.
6. Intellectual Property
SimplaDocs retains ownership of all intellectual property rights in the agent’s software, algorithms, and design.
You retain ownership of any content or data you provide via the host platform. By using the agent, you grant SimplaDocs a limited license to process such data only as necessary to enable the agent’s functionality within the platform.
7. Service Availability
The agent operates on third-party infrastructure. While SimplaDocs aims to maintain functionality, it does not guarantee availability, uptime, or compatibility with all platform features. Maintenance, updates, or outages may occur at the discretion of the host platform.
8. Limitation of Liability
To the fullest extent permitted by law, SimplaDocs and its affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the agent.
The agent is provided “as is” without warranties of any kind, express or implied.
9. Termination
SimplaDocs may modify, suspend, or discontinue any agent at any time without liability. Your access may also be terminated if required by the host platform’s policies or for violation of these Terms.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of law principles.
