Service Level Agreement


Cardinal Newman Partnership and ​People in Commons Community Interest Company (CIC)
Effective Date: October 2025 ​Duration: October 2025 – September 2026 (unless terminated earlier in accordance with the Terms of this Agreement)

1. Parties

1.1 This Service Level Agreement ("Agreement") is made between:
Cardinal Newman Partnership, a partnership of schools operating in England ("the Partnership"); and
People in Commons CIC, a Community Interest Company registered in England and Wales (Company No. 15659687) with its registered office at [176B, High Street, Lewes] ("the CIC").
1.2 The CIC, through its representative James Gardiner, agrees to provide research and consultancy services to the Partnership under the terms set out herein.

2. Purpose

The purpose of this Agreement is to define the scope, terms, and conditions under which the CIC shall provide research and consultancy services to the Partnership in furtherance of supporting collaborative operations and service development across the Partnership’s schools.

3. Term

3.1 This Agreement shall commence on 1 October 2025 and continue until 30 September 2026 unless terminated earlier pursuant to Clause 12.
3.2 The Agreement may be renewed or renegotiated annually, subject to mutual agreement of the Parties.

4. Services and Deliverables

The CIC shall provide the following services:
Conduct research into out-of-school service operations across the Partnership schools.
Undertake interviews with school administrative staff.
Analyse current providers, assess their impacts, and produce evaluative reports.
Provide regular updates and progress reports to the Partnership leadership team (anticipated monthly).

5. Partnership Commitments

The Partnership agrees to:
Facilitate access to its schools and leaders for the CIC’s research lead.
Participate fully in the research process, supporting engagement with students, governors, parents/carers, and community stakeholders.
Provide opportunities for staff to access training and development.
Commit to the financial contribution set out in Clause 6.

6. Fees and Payment

6.1 The total fee for the services rendered under this Agreement shall be £40,000 for the Term.
6.2 Payment terms shall be as follows, unless otherwise agreed in writing:
25% upon commencement in October 2025;
25% by 31 January 2026;
25% by 30 April 2026;
25% by 31 July 2026.
6.3 All sums payable under this Agreement exclude VAT (if applicable), which shall be itemised and paid in addition where required.

7. Additional Services and Future Work

If the Partnership wishes to extend services under a separate SLA beyond September 2026, the CIC shall:
Present governance and operational models for evaluation.
Support transfers of operations into new governance arrangements.
Develop innovative value-flow systems across the Partnership schools.
In respect of ongoing or extended work, the Partnership agrees to commit 3% annually of additional revenue generated through new operational models to fund this support.

8. Confidentiality

8.1 Each Party undertakes to treat as confidential all information of a proprietary or sensitive nature relating to this Agreement and the other Party’s operations.
8.2 Confidential information may only be disclosed where required by law or with the written consent of the disclosing Party.

9. Data Protection

Each Party shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, ensuring that all data shared under this Agreement is lawfully collected, processed, and stored.

10. Social Value Commitment

The CIC, as a not-for-profit social enterprise, agrees to use all income generated under this Agreement solely to maximise social value within service.

11. Liability

11.1 Neither Party shall be liable to the other for any indirect, special, or consequential losses arising under this Agreement. 11.2 The CIC’s liability under this Agreement shall not exceed the total amount paid by the Partnership under Clause 6. 11.3 Nothing in this clause excludes or limits liability for death, personal injury, or fraud caused by negligence.

12. Termination

12.1 Either Party may terminate this Agreement by giving three (3) months’ written notice to the other Party. 12.2 Either Party may terminate immediately if the other Party commits a material breach of this Agreement and fails to remedy it within 30 days of written notice. 12.3 In the event of early termination, the CIC shall be paid fees proportionate to work done up to the termination date.

13. Force Majeure

Neither Party shall be liable for delay or failure to perform its obligations under this Agreement where such delay or failure results from events beyond reasonable control, including acts of God, pandemics, or industrial disputes.

14. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or arrangements relating to the subject matter herein. No variation shall be binding unless made in writing and signed by authorised representatives of both Parties.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Execution

This Agreement is entered into and executed by duly authorised representatives of both Parties:
