Terms of Service
1. Service Scope Clarification
Define Precisely:
Each service package includes a specific set of deliverables as outlined in the contract, with clear limits on the number of revisions, hours of work, and the scope of services. For instance, the LMS setup includes 3 course listings, 1 assignment demo, 1 discussion forum, and 1 live class setup. Any additional work beyond these inclusions will be subject to additional fees. Exclusions:
The following items are excluded from service packages unless explicitly stated otherwise: Additional customisations beyond the outlined deliverables. Third-party integrations that require additional resources. Ongoing support beyond the agreed-upon backend support period. 2. Payment Terms
Payment Breakdown:
The payment will be divided into 60% - 40% format for services like Brand Guidelines.
For Development Services, the payment will be divided into 30% advance, 40% post demo, 30% on delivery. Marketing (Including SEO and SMO) will be pre-paid services. Deposit Requirements:
An advance deposit is required at the beginning of each project to commence work. The remaining balance will be due upon completion or according to the payment schedule outlined in the contract. Payment Schedule:
Payments will be made as per the agreed milestones. Subsequent payments may be tied to the completion of each key phase of the project, such as LMS setup, e-commerce integration, etc. Late Payment Penalties:
Payments not received within 30 days of the due date will incur a late fee of 1.5% per month on the outstanding balance. If payments are not made within 60 days, project work may be suspended until the balance is paid in full. 3. Intellectual Property Rights
Ownership of Materials:
The intellectual property of all deliverables created during the project, including software, designs, content, and documentation, will remain the property of VNest Technologies until full payment is received. Upon receipt of full payment, the ownership rights will transfer to the client. Usage Rights:
The client is granted exclusive, non-transferable rights to use the deliverables for internal purposes only. Redistribution, resale, or sublicensing of the materials without prior written consent from VNest Technologies is prohibited. 4. Cancellation and Termination
Notice Period:
Either party may terminate the contract by providing a 30-day written notice. Cancellation Fee:
If the client chooses to cancel the contract after work has commenced, a cancellation fee of 20% of the total project cost will be charged to compensate for resources already allocated. 5. Confidentiality and Data Protection
Confidential Information:
Both parties agree to keep all confidential information, including business, educational, and personal data, private during and after the project. Data Handling:
VNest Technologies ensures that all data handling complies with relevant data protection regulations, including GDPR and local laws. We will implement necessary safeguards to protect personal and educational data throughout the contract period. 6. Performance and Quality Guarantees
Service Level Agreements (SLAs):
VNest Technologies is committed to delivering high-quality services. We guarantee timely delivery of services according to the project timeline and quality standards. Response times for support and queries will be handled within 48 hours. Remedies for Non-Performance:
If the services delivered do not meet the agreed-upon standards, the client is entitled to request a revision or compensation, such as a discount on the final invoice or additional services at no charge. 7. Revision and Approval Processes
Feedback Times:
The client must provide feedback within 2 business days of receiving deliverables to avoid delays in project timelines. If feedback is delayed, VNest Technologies is not responsible for any impact on the overall project schedule. Approval Stages:
The project will be divided into key approval stages. Client approval is required before moving to the next phase. This includes approvals for LMS setup, course listings, social media posts, etc. 8. Force Majeure
Unexpected Delays:
Neither party will be held responsible for delays or failure to meet obligations due to unforeseen events outside of reasonable control, such as natural disasters, pandemics, or government regulations that prevent or delay the fulfilment of contractual obligations. 9. Dispute Resolution
Governing Law:
This contract shall be governed by the laws of [Jurisdiction], and any disputes arising from this agreement shall be resolved in accordance with the legal framework of that jurisdiction. Arbitration Process:
In case of any disputes, both parties agree to attempt mediation first. If mediation is unsuccessful, disputes will be resolved via arbitration, under the supervision of a mutually agreed-upon arbitrator. 10. Renewal and Modification of Terms

The contract will be automatically renewed after the agreed period unless either party provides a 30-day written notice of non-renewal. Modifications:

VNest Technologies does not guarantee specific returns, sales, or increased traffic as a direct result of social media content creation or any digital marketing efforts. The effectiveness of marketing campaigns can be influenced by multiple external factors beyond the control of VNest Technologies. Revenue Predictions:
To provide a credible forecast of online sales and performance, VNest Technologies requires a minimum engagement period of three months for social media services. This duration allows for the accumulation of sufficient data to analyze trends and optimize strategies effectively. Revenue projections will be based on this data and presented with reasonable assumptions. 12. Risk Management
Risk Identification:
Both parties will collaborate at the start of the project to identify potential risks. Risk Mitigation Plans:
VNest Technologies will devise and implement strategies to mitigate identified risks, which may include contingency plans and resource reallocation. 13. Quality Assurance

Adjust services based on client feedback received during these reviews to continuously improve service delivery. 14. Communication Protocol
Establish a regular schedule for updates to keep the client informed about project progress and any issues. Escalation Procedures:

Specify the responsibilities of the client, such as providing essential information, timely feedback, and necessary approvals. Stakeholder Engagement:
