Lawher.PH Portal is a technology platform owned and operated by Lawher Portal OPC (the ""Company"), a corporation duly organized and existing under the laws of the Philippines, which allows users to schedule online video or audio calls with Philippine lawyers, and engage the legal services of such lawyers, including, but not limited to, drafting documents, reviewing documents, providing legal advice or opinions, representation at hearings, mediation, arbitration conferences, etc.
By registering as a user of Lawher.PH Portal (the "Site"), whether as a User-Client ("User-Client") or User-Lawyer ("User-Lawyer") (collectively, the "User"), the User hereby accepts the following terms and conditions (the "Agreement") in its entirety and without any exception or reservation:
1 Age and Capacity
The User represents and warrants that he/she is at least eighteen (18) years of age and has the capacity to bind himself/herself contractually to this Agreement and to use the Site. Persons under eighteen (18) years of age, or otherwise incapacitated to enter into this Agreement, may not register to use the Site. If acting on behalf of Dependents, the User represents and warrants that he/she is authorized to act for and on behalf of, and to bind such Dependents. The User also warrants that he/she has fully informed each of the Dependents and that they have fully understood, consented, and accepted this Agreement. Upon request, the User will provide Lawher.PH Portal with written proof of the User's (a) specific authorization to act on behalf of the Dependents and (b) the consent and acceptance of this Agreement by the Dependents.
2 Registration, Personal Information and Use
2.1 The User must register to use the Site.
2.1.1 In registering as a Client, the User-Client will be required to provide certain personally identifiable information, including name, email address, contact number, profile picture, and language preference ("Personal Information"). The User-Client is solely responsible for updating Lawher.PH Portal of changes to his/her Personal Information so that records are current, complete and accurate and such changes shall form part of the User- Client's Personal Information.
2.1.2 In registering as a Lawyer, the User-Lawyer will be required to provide certain personally identifiable information, including full name, email address, roll of attorney number, copy of a valid government identification card and a copy of their Integrated Bar of the Philippines identification card, and bank details. The User-Lawyer will also be required to create a profile page ("Profile") consisting of a short biographical description, areas of practice, educational background, work experience, publications and awards, as well as other relevant information as a prerequisite to publishing his/her profile. In creating his/her Profile, the User Lawyer undertakes to use only dignified, verifiable and factual information, which in no case shall be self-laudatory. The User-Lawyer is solely responsible for updating Lawher.PH Portal of changes to his/her Personal Information and Profile so that records are current, complete and accurate and such changes shall form part of the User-Lawyer's Personal Information.
2.2 The User agrees to fully, accurately and truthfully create his/her Account, including, but not limited to, your name, mailing address, phone number, email and password, which become your Account ID and credentials. The User understands and agrees that these credentials are personal to him/her and that he/she is solely responsible for maintaining the confidentiality of his/her ID credentials, and for all activities that occur under such account. The User agrees to prohibit anyone else from using his/her credentials and agrees to immediately notify Lawher.PH Portal of any actual or suspected unauthorized use of his/her credentials or other security concerns of which the User becomes aware.
2.3 By using the Site, the User-Client agrees to disclose the contents of his/her Personal Information to the User-Lawyer/s he/she has consulted or will consult with, as well as to Lawher.PH Portal, its employees, agents and/or authorized representatives, its subsidiaries, affiliates, partners and third-party service providers, to the extent permitted by law, and as part of its business operations and provision of services. The User-Client expressly agrees to disclose the details of his/her legal problem to the lawyer selected for the online consultation and further agrees to hold Lawher.PH Portal free and harmless from such disclosure.
2.4 Lawher.PH Portal’s retention and use of all Personal Information shall be subject to its privacy policy posted available on the Site ("Privacy Policy"). The User warrants that he/she has read and understood the Privacy Policy, and consents to the collection and processing of his/her Personal Information by Lawher.PH Portal, its employees, agents and/or authorized representatives, and its subsidiaries, affiliates, partners and third-party service providers, as detailed therein for access and use by their chosen lawyers or by Lawher.PH Portal, as may be necessary in the delivery of the Site's services and/or as required by law. If acting on behalf of Dependents, the User warrants that he/she is authorized to act for and has obtained the consent of the Dependents to the collection and/or processing of their personal information in accordance with the Privacy Policy prior to sharing any of their Personal Information with Lawher.PH Portal. The User also warrants to have fully informed each Dependent and that they have fully understood, consented, and accepted the Privacy Policy. Upon Lawher.PH Portal’s request, the User will provide written proof of his/her (a) authorization to act on behalf of Dependents, and (b) the consent and acceptance of Privacy Policy by Dependents.
2.5 The User's account is strictly confidential. The User shall be prohibited to lend or allow the use of his/her account to another person, whether with or without his/her consent. Lawher.PH Portal reserves the right to suspend the User's account in case of violation. Lawher.PH Portal may contact the User by telephone, mail or email to verify the registered Account information. Lawher.PH Portal may request further information from the User and the User agrees to provide such further information to ensure that the Account is not fraudulent. If the User does not provide this information in the manner requested within 10 business days of the request, Lawher.PH Portal reserves the right to suspend, discontinue or deny the User access to and use of the Site and Services, until the information is provided by the User as requested.
2.6 Lawher.PH Portal has the right to limit, suspend, discontinue or deny the User access to and use of the Services at any time, and without notice, to anyone who violates this Agreement as Lawher.PH Portal, in its sole discretion, considers appropriate or necessary, including but not limited to (1) security reasons (2) alleged or suspected breach of this Agreement, (3) the protection of intellectual property, or (4) violation of confidentiality.
2.7 By registering to use the Site, the User agrees to receive information regarding law or legal topics, or marketing promotions and notifications related to the service. This information is for general educational and informational purposes only. In no case should such information be considered or relied upon as a substitute or replacement for legal advice. Neither should it be construed, directly or indirectly, as constituting the practice of law or any other profession, or dispensing of legal services by Lawher.PH Portal. Lawher.PH Portal makes no warranties, express or implied, as to the accuracy or applicability of the information provided in connection with the Site and assumes no responsibility for any consequences relating directly or indirectly to any action or inaction that the User may take in connection with such information. The User may opt-out at any time by contacting Lawher.PH Portal’s email support, if he/she does not want to receive such information.
3 Nature of the Site and the Service
3.1 Use lients are provided the ability to book or schedule the Services of lawyers on the Site. Lawher.PH Portal shall process each online consultation request made by the User- Clients and notify the selected User-Lawyer of the online consultation booking. For the avoidance of doubt, each agreement entered into for the provision of the Services shall constitute a direct contractual relationship between the User-Lawyer and the User-Client. The said contractual relationship shall begin from the point where the User-Client schedules and pays for an online consultation with the chosen User-Lawyer and shall conclude when the Service requested (a) has been completed or (b) when the appointment was cancelled by either party before the Service was rendered.
3.2 Lawher.PH Portal provides web features including but not limited to video call, audio call, chat, and comment/forum, to facilitate online legal consultations between User Lawyers and User-Clients. This may also include bookings for the provision of legal services and information, as determined and recommended by the lawyer. User-Lawyers listed in this Site have voluntarily and independently registered in the Site and have provided proof of their license to practice law, in the form of their IBP ID and Roll of Attorney's Number and warrant the authenticity of the same. Lawher.PH Portal verifies the User-Lawyer's Roll of Attorney's Number and IBP ID against the Lawyer's List provided by the Supreme Court of the Philippines.
3.3 The User-Client understands that Lawher.PH Portal does not provide legal services itself but merely provides web functionalities to facilitate online consultations for User Lawyers and User-Clients to meet virtually, for which the User-Lawyer charges a legal fee, and Lawher.PH Portal charges a web service fee (collectively, the "Online Consultation Fee"). The User-Client understands that there is no attorney-client relationship between the User Client and Lawher.PH Portal.
3.4 The User-Client understands that User-Lawyers voluntarily indicate their availability for consultations, and Lawher.PH Portal does not guarantee the availability of the lawyers on the platform, nor the quality or extent of their services, which is subject to further agreement separate, distinct and in addition to Lawher.PH Portal the consultation fee. The User-Client understands that in the event of emergencies, Lawher.PH Portal cannot guarantee the immediate assistance of a lawyer or the acceptance of a User Lawyer to provide his/her services.
3.5 Lawher.PH Portal does not employ lawyers and is neither a lawyer nor law office. The lawyers whose profiles appear on Lawher.PH Portal reserve the right to deny consultation on account of conflict of interest or potential misuse of these Services. Lawher.PH Portal online legal consultations is for purposes of facilitating meetings online and is not intended to replace a personal/face-to- face full legal assessment and consultation, examination of legal problems, representation at hearings, and as such may be limited in scope and time. This Agreement applies to the User-Client's use of the Site and, to the extent referenced, to the User-Client's registration for, subscription to, and use of the Services.
3.6 The User-Lawyer, in his/her sole discretion and professional judgment and based on the User-Client's information and legal concern, may determine that his/her Service may not be appropriate for the User-Client's needs and accordingly refrain from performing the Service. he lawyer may recommend the appropriate Service, or refer the User-Client to another lawyer. 3.7 THE USER-CLIENT AGREES THAT Lawher.PH Portal SHALL NOT BE RESPONSIBLE OR LIABLE TO THE USER-CLIENT IN RELATION TO ANY SERVICES OR ADVICE PROVIDED BY THE USER-LAWYER TO THE USER-CLIENT. THE USER-CLIENT HEREBY HOLDS Lawher.PH Portal FREE AND HARMLESS FOR ANY AND ALL ACTION TAKEN BASED ON THE ADVICE PROVIDED BY THE USER-LAWYER OF THEIR CHOICE.
3.8 The User-Client understands that it is his/her sole responsibility to provide the facts and documents needed for the User-Lawyer to assess his/her legal concern and provide the appropriate legal advice. The User-Client hereby undertakes to provide the specific, complete, accurate and correct information. The User-Client agrees that any mistake or error made or incurred by the lawyer by reason of, but not limited to, error or inaccuracy in such information shall be the User-Client's sole responsibility.
4 User's Warranties
The User hereby represents, warrants and undertakes that:
4.1 The User will not, directly or indirectly, use, access, permit or allow the Site to be used or accessed in any unlawful way and/or for any unlawful purpose;
4.2 The User will not violate this Agreement, directly or indirectly;
4.3 The User will not create a false account, or use a false or assumed name and will only use his/her legal name;
4.4 The User will not post or transmit messages under a false name;
4.5 The User will not falsely represent to be another person, whether as a person seeking legal advice or as a lawyer;
4.6 The User will not, directly or indirectly, permit or allow another person to use his/her account;
4.7 The User will not attempt to undermine or compromise the security or integrity of computing systems or networks of Lawher.PH Portal, and will not attempt to gain unauthorized access;
4.8 The User will not harvest or collect data about any other individual who uses the services, or any lawyer listed thereon, whether manually or through automated systems/softwares/artificial intelligence;
In addition to the foregoing, the User-Client hereby represents, warrants and undertakes that:
4.9 The User-Client will not post or transmit messages, nor schedule consultations under a false name;
4.10 The User-Client will not contact the User-Lawyers outside the platform, and will maintain all communication on the Site;
In addition to the foregoing, the User-Lawyer hereby represents, warrants and undertakes that:
The User-Lawyer will not use Lawher.PH Portal to illegally practice law, and will
4.11 Accordingly not falsely represent that he/she is authorized to practice law in the Philippines where he/she is not so authorized by the competent authority;
4.12 The User-Lawyer will not use false, fraudulent, misleading, deceptive, undignified, self-laudatory or unfair statement or claim regarding his qualifications or legal services, or in describing his/her work experience or in otherwise offering his/her services on the platform, whether in written or verbal form, and shall use only dignified, verifiable, and factual information therein. In no case shall the User- Lawyer use self-laudatory language;
4.13 The User-Lawyer, agrees to hold Lawher.PH Portal free and harmless against any action that may be filed by any interested party for violation of the Code of Professional Responsibility and Accountability, including, but not limited to the prohibition on the use of false, fraudulent, misleading, deceptive, undignified, self laudatory or unfair statement or claim regarding his qualifications or legal services;
5 Payment
The User agrees to timely pay for all amounts due and owing pursuant to the Service subscribed to, and for all other fees that may be charged in connection with your use of the Service, including, but not limited to the online consultation fee which shall consist of the legal fee and web service fee.
6 Intellectual Property
6.1 The Site is a licensed product. All intellectual property rights in the software and in the Site belong exclusively to Lawher.PH Portal and its licensors.
6.2 Lawher.PH Portal grants the User limited, personal, non-exclusive and non transferable rights and license to use the Site and to access the services using the Site. Unless otherwise specified in writing, the User shall use the Site for the intended use and purpose stated in this Agreement.
The Application, including but not limited to, the content, metadata, design, organization, compilation, look and feel, the fitness and nutrition plans, the source, object and HTML code, and all other protectable intellectual property available through the services and/or comprising the Site are property of Lawher.PH Portal and its licensors. Such property is protected by intellectual property laws. All rights concerning the Site which are not expressly provided in this Agreement are reserved by and belong to the Company.
6.3 By using the Site, the User agrees that his/her use:
6.3.1 shall be for lawful purposes only and never for unlawful, illegal or fraudulent purposes;
6.3.2 shall not cause nuisance, annoyance, disruption, or inconvenience to Lawher.PH Portal, it's partners, licensors and any other person;
6.3.3 shall not impair the proper operation of the network;
6.3.4 shall use the same only through access points or wireless data account (AP) which he/she is authorized to use; and
6.3.5 may be charged with standard messaging and/or data fees by his/her wireless provider.
6.4. The User agrees:
6.4.1. not to copy, reproduce, sell, publish, distribute, display, retransmit or otherwise provide access to the Site to anyone, will not rearrange, modify, create derivative works or reverse engineer the Site;
6.4.2. not to make alterations to, or modifications of, the whole or any part of the Site or permit the Site or any part of it to be combined with, or become incorporated in, any other programs;
6.4.3. not to distribute, transfer, sell, re-sell, lease, license, sub-license, loan, translate, merge, adapt, vary, modify, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Site or any part of it;
6.4.4. not to remove, disassemble, decompile, reverse-engineer or create derivative works any copyright, trademark or other proprietary notices from any portion of the Site;
6.4.5. not to link to, mirror or frame any portion of the Site;
6.4.6. not to cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Site or unduly burden or hinder the operation and/or function of any aspect of the Site;
6.4.7. not to provide or otherwise make available the Site in whole or in part (including its object and source code), in any form whatsoever, to any person without Lawher.PH Portal’s prior written consent;
6.4.8. not to gain or attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks;
6.4.9. not to use the Site in any unlawful manner or for purpose/s inconsistent with the provisions of this Agreement, or act fraudulently or maliciously for example, by hacking into or inserting malicious code, including viruses, or harmful data into the Site;
6.4.10. not infringe intellectual property rights or those of any third party in relation to your use of the Site;
6.4.11. not to transmit any material that is defamatory, offensive or otherwise objectionable in relation to the use of the Site;
6.4.12. not to use the Site in a manner that can cause damage to, or disable, overburden, impair or compromise our systems or security or interfere with other users; and
6.4.13. not to collect or harvest any information or data from any Service or our systems or attempt to decipher any transmissions to or from the servers running any Service.
6.5. The USER acknowledges the risks when accessing his/her account through a public or shared server, computer or network, which is prohibited as a matter of policy to prevent data or privacy breach. The USER acknowledges that he/she is exclusively responsible for all consequences of accessing the Site through any public or unsecured network.
7 No Warranties and Limitations of Liability
The User-Client understands that the Site is only meant to connect the User-Client to a User Lawyer and as such, Lawher.PH Portal is not liable for any claims, demands, losses, liabilities, and expenses with respect to the Services rendered by the User-Lawyer.
THE USER AGREES THAT THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Lawher.PH Portal DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, Lawher.PH Portal MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY,
OR AVAILABILITY OF THE SERVICES REQUESTED THROUGH THE USE OF THE SITE OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
The User-Client understands and agrees that Lawher.PH Portal makes no representation or warranty as to the substance or form of the legal advice or opinion provided by the User Lawyers on the Site. The User-Client understands that the User-Lawyers listed on the site are neither employees nor independent contractors of Lawher.PH Portal but are professional lawyers operating/practicing independently or in partnerships/law firms, as the case may be.
THE USER AGREES THAT THE ENTIRE RISK ARISING FROM HIS/HER USE OF THE SITE, AND ANY SERVICE PERFORMED IN CONNECTION THEREWITH, REMAINS SOLELY AND WITH HIM/HER.
Indemnification
8.1. The User agrees to indemnify and hold Lawher.PH Portal, its officers, directors, employees, agents and/or authorized representatives, as well as its affiliates, subsidiaries and/or investors free and harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with:
8.1.1. the User's use of the Site;
8.1.2. the User's breach or violation of any of the terms of this Agreement; and
8.1.3. the User's violation of the rights of any third party, including that of the User.
8.2. Lawher.PH Portal SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR ANY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SITE OR FOR THE LAWYER'S PERFORMANCE OF THE SERVICES, EVEN IF Lawher.PH Portal HAS BEEN ADVISED AND/OR INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3. Lawher.PH Portal SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING FROM:
8.3.1. THE USER'S USE OF THE SERVICES OR INABILITY TO ACCESS OR USE THE SERVICES; OR
8.3.2. ANY TRANSACTION OR RELATIONSHIP ENTERED INTO BY AND BETWEEN THE USER-CLIENT AND THE USER-LAWYER, EVEN IF Lawher.PH Portal HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.4. Lawher.PH Portal SHALL NOT BE LIABLE FOR ANY DELAY OR FAILURE IN THE PERFORMANCE OF SERVICES RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT SHALL Lawher.PH Portal BE LIABLE TO THE USER-CLIENT FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION UNDER
THIS AGREEMENT THAT EXCEED THE TOTAL AMOUNT OF THE WEB SERVICE FEES FOR THE SERVICES AVAILED OF. IN NO CASE SHALL Lawher.PH Portal BE LIABLE BEYOND THE AMOUNT OF THE WEB SERVICE FEES CHARGED IN ACCORDANCE WITH THE SERVICE.
8.5. This Section 8 shall survive the expiration or termination of this Agreement.
9 Force Majeure
Lawher.PH Portal shall not be held liable to the User for failure to perform its obligations or for any delay in the performance thereof, if the failure or delay was due to any cause beyond the Lawher.PH Portal reasonable control, such as, but not limited to, acts of God, explosion, flood, tempest, fire, accident, war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any governmental or local authority; interruption of traffic, strikes, lock-outs, or other industrial actions or trade disputes (whether involving employees of Lawher.PH Portal or a third party); power failure or breakdown in machinery. Upon the happening of any one of the events set out, Lawher.PH Portal may, at its option, fully or partially suspend the performance of the Service while such event or circumstance continues, or terminate any contract with Users so affected with immediate effect.
10 Term and Termination
The User is allowed to use the Site for the term of this Agreement. Notwithstanding such a term, the User's breach of this Agreement, including non-payment for Services, will result automatically in the immediate termination of this Agreement by Lawher.PH Portal upon service of an email notice, without prejudice to Lawher.PH Portal’s available remedies under
the law. Lawher.PH Portal reserves the right to terminate your use of the Application if you breach this Agreement or for any other reason in Lawher.PH Portal’s discretion. It is agreed and understood that prior resort to litigation is not required for the above automatic and immediate termination of this Agreement. The User waives any right to insist on prior resort to litigation to the fullest extent allowed under applicable law. If the User disputes or questions such termination, the User agrees that pending determination of the validity or effectivity of the termination, Lawher.PH Portal’s obligations under this Agreement, except those which are intended to survive the termination or expiration of the Agreement, shall be deemed suspended. The User further understands that he/she will shoulder all costs of the proceedings, including attorney's fees, should the termination be found to be proper. The provisions on Indemnification, Limitations of Liability and the Personal Information stated herein shall survive the termination of this Agreement.
1 1 Miscellaneous
11.1. No Third Party Rights
11.1.1. No person who is not a party to this Agreement (including any employee, officer, agent, representative or sub-contractor of either party) shall have any right to enforce any terms of this Agreement which expressly or impliedly confers a benefit on that person without the express prior written agreement of the parties.
11.2. Assignment of Rights and Obligations
11.2.1. The User may not assign nor transfer any of his/her rights, nor delegate the performance of his/her obligations under this Agreement. Any attempted assignment, transfer or delegation without such consent shall be void and of no effect.
11.2.2. Lawher.PH Portal reserves the right to assign this Agreement, in whole or in part, to any party, including Lawher.PH Portal’s affiliates, with due notice to the User. Such transfer, however, shall not affect the lawyer's rights under this Agreement.
11.3. Non-Waiver; Remedies Cumulative
11.3.1. Any failure of either party to insist upon the strict performance of any term or condition of this Agreement, shall not be deemed a waiver of any of the party's rights or remedies, including the right to insist on the strict performance of the same. No waiver or other modification to this Agreement shall be valid unless it is in writing, dated and signed by the parties.
11.3.2. The rights and remedies herein expressly provided are cumulative and not exclusive of any rights or remedies which any of the parties would otherwise have.
11.4. Governing Law
This Agreement shall be subjected to and construed in accordance with the laws of the Republic of the Philippines.
11.5. Dispute Resolution
11.5.1. Any dispute, controversy, difference, or claim arising under, out of or relating to this Agreement, including, without limitation, its formation, validity, binding effect, interpretation, performance, breach or termination, as well as non contractual claims, shall be resolved by the parties within thirty (30) days from receipt of a written request to meet in good faith in order to resolve any dispute, controversy, difference or claim in accordance with this Agreement.
11.5.2. If the dispute remains unresolved after this period, the dispute shall be submitted to mutual consultation, mediation, and/or arbitration, at the option of Lawher.PH Portal. In case Lawher.PH Portal chooses to submit the dispute to mediation, and/or arbitration, such shall be referred to and finally resolved by Arbitration administered by the Philippine Dispute Resolution Center, Inc. ("PDRCI"), in accordance with the Special Rules of Court on Alternative Dispute Resolution, which rules are deemed incorporated by reference in this clause. The arbitration shall be conducted by one or more arbitrators to be appointed in accordance with the PDRCI Arbitration Rules. The seat of the arbitration shall be the Philippines. The language of the arbitration shall be English. The arbitration agreement shall be governed by the laws of the Philippines.
11.5.3 In the event the parties agree, in writing, to resort to judicial remedies, the same shall be instituted only and exclusively before the courts of Makati City, Metro Manila, Philippines to the exclusion of all other venues and courts.
11.5.4. The validity, interpretation and performance of this Agreement is governed by the laws of the Republic of the Philippines.
11.5.4. Notwithstanding the existence of a dispute, each party must continue to perform their obligations under this Agreement.
11.6. Notice and Correspondence
11.6.1. All notices that are required under this Agreement shall be in writing and shall be considered effective only upon receipt thereof.
11.6.2. A party shall give written notice of any change of address to the other party. Any substitute address of a party shall be effective only after the lapse of fifteen (15) days from receipt of the written notice thereof. Absent such written notice of any change of address, service to the currently known address of a party shall be deemed effective.
11.6.3.Any communication or document made or delivered by one party to another under this Agreement shall be deemed received upon actual receipt thereof or if by way of letter, when it has been left at the relevant address or fifteen (15) days after being deposited in the post addressed to the recipient.
11.7. Interpretation
11.7.1.The titles to the provIsIons in this Agreement are for convenience or reference only and shall not in any way affect the interpretation thereof.
11.7.2. This Agreement shall not be construed in favor of or against any party, but shall be construed equally as to both parties.
11.8. Severability
11.8.1. If any of the provIsIons of this Agreement shall be found void or unenforceable, such invalidity or unenforceability shall not entirely invalidate or render this Agreement unenforceable, but rather this Agreement shall be construed as if not containing the particular void or unenforceable provisions, and the rights and obligations of the parties shall be construed accordingly.
11.8.2. If Lawher.PH Portal or the User would not have entered into this Agreement without such provision, that party shall have the right to terminate this Agreement upon written notice to the other party.
11.9. Entire Agreement; Amendment
11.9.1. This Agreement shall contain the entire understanding between the parties that will govern their relationship and supersedes any prior understanding and agreement between the parties. There are no representations, agreements, arrangements or understanding, verbal or written, between the parties hereto relating to the subject matter of this Agreement, which are not fully expressed herein.
11.9.2. Lawher.PH Portal reserves the right to modify this Agreement periodically, for any reason, and without notice. The most current version of this Agreement can be accessed at any time by selecting the Terms and Conditions link at the bottom of the Site. The User undertakes to review this Agreement as often as reasonably necessary, to be apprised of any changes made. Any such revision or change will be binding and effective immediately on posting of the revised Agreement or change to the service(s) on the Site. Unless otherwise stated, this Agreement incorporates and supersedes any other terms associated with the Site. If the User continues to use the Site or any Service after Lawher.PH Portal makes changes to the provisions of this Agreement, the User is deemed to have acceptance of the revised Agreement.
Acceptance
The creation of a user account, whether as a User-Client or User-Lawyer, including the acceptance and availment of a Service by a User-Client means acceptance of this Agreement.
In scheduling an online consultation, the User-Client will be asked to confirm its assent to this Agreement. By clicking "Accept," the User-Client confirms its assent to this Agreement.
In publishing his/her Profile, the User-Lawyer confirms its assent to this Agreement.
