Between People in Commons CIC and the Member
This Membership Agreement ("Agreement") is entered into between:
People in Commons CIC, a community interest company incorporated in England and Wales with company number 15659687 and registered office at 176B High Street, Lewes, BN7 1YE ("the CIC"),
and
The Member, being the undersigned individual who agrees to the terms below ("the Member").
1. Purpose of Membership
1.1. This Agreement sets out the terms under which the Member subscribes to and maintains membership in People in Commons CIC.
1.2. By entering into this Agreement, the Member acknowledges that such membership serves as a gateway to potential membership in Future Folk Sussex Mutual Home Ownership Society Limited ("the Co-op"), a fully mutual housing cooperative governed by its own Rules and Articles.
1.3. The Member’s membership in the CIC may entitle them, if accepted by the Co-op, to an opportunity to live at the following property in accordance with a separate occupancy agreement to be entered into with the Co-op:
176B High Street, Lewes, BN7 1YE ("the Property").
2. Membership Fees
2.1. The Member agrees to pay a monthly subscription fee to People in Commons CIC. The amount of this fee will be notified to the Member in writing prior to the commencement of this Agreement and may be varied by giving not less than one calendar month’s written notice.
2.2. Payment shall be made monthly in advance, via standing order or another method agreed in writing.
2.3. Failure to pay the monthly fee may lead to suspension or termination of the Member's rights under this Agreement, and may impact their eligibility for nomination to membership in the Co-op.
3. Membership Rights and Responsibilities
3.1. Upon payment of the subscription and acceptance by the CIC, the Member shall be entitled to:
a. Membership in People in Commons CIC;
b. Nomination and support to apply for full membership of the Co-op, subject to the Co-op’s application and approval procedures.
3.2. If accepted as a member of the Co-op, the Member may become eligible to occupy the Property, subject to entering into a separate written occupancy agreement with the Co-op and compliance with all relevant rules, policies, and legal requirements.
3.3. This Agreement does not itself confer a tenancy, licence, or right to occupy the Property. Occupancy shall be governed by a separate agreement with the Co-op, in line with the law.
3.4. Membership is personal to the Member and is non-transferable.
3.5. The Member agrees to comply with the rules, decisions, and policies of both People in Commons CIC and the Co-op, including participation in the community and fulfilment of communal responsibilities.
4. Co-op and CIC Obligations
4.1. The CIC agrees to:
a. Administer membership subscriptions effectively;
b. Support nominated Members in their applications to the Co-op.
4.2. The Co-op’s obligations to the Member, including support and provision of housing, are governed solely by its Articles and the occupancy agreement, and do not form a contractual obligation in this Agreement unless otherwise agreed by the Co-op in writing.
5. Term and Termination
5.1. This Agreement operates on a rolling monthly basis unless terminated by either party with one month’s written notice.
5.2. The CIC may terminate membership for non-payment of fees, serious breach of obligations, or other substantial reason. The Member may appeal any termination in writing.
5.3. Termination of this Agreement may result in loss of eligibility for Co-op membership. If the Member occupies the Property pursuant to a separate occupancy agreement with the Co-op, termination will not, by itself, affect their statutory rights as an occupier; any requirement to vacate the Property would be subject to a separate process compliant with English law.
6. Data Protection
6.1. The CIC will process the Member’s personal data in accordance with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.
6.2. Personal data may be shared with the Co-op solely for the purpose of membership nomination and related administration. For further details, the CIC’s Privacy Policy applies and is available on request.
7. Dispute Resolution
7.1. If any dispute arises out of this Agreement, the parties will seek to resolve it amicably. If not resolved within 30 days, either party may request mediation with a mutually agreed independent mediator before taking further legal action.
8. Other Provisions
8.1. This Agreement is governed by the law of England and Wales.
8.2. Any variation of this Agreement shall be valid only if made in writing and signed by both parties.
8.3. If any provision of this Agreement is found to be invalid or unenforceable, the other provisions shall remain in effect.
