Terms of Service for Being Featured on Social Media Channel via Video
These Terms of Service ("Agreement") govern your participation and appearance on a social media channel ("Channel") for the purpose of being featured in a video content ("Video"). Please read this Agreement carefully before providing your consent to be featured on the Channel. By participating and granting your consent, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
Grant of Rights:
By agreeing to this Agreement, you grant the Channel, its owners, operators, and affiliates, a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, distribute, publicly display, publicly perform, modify, and create derivative works of the Video, including your likeness, name, voice, and any other identifying information provided by you, in connection with the promotion and operation of the Channel and its associated activities.
Consent and Release:
You represent and warrant that you are the legal owner of the rights granted under this Agreement or have obtained all necessary permissions and releases from any third parties involved in the Video. You further grant the Channel the right to use, edit, modify, reproduce, distribute, publicly display, and publicly perform any materials provided by you in connection with the Video. You understand and agree that the Channel may use the Video in any manner it deems appropriate without any further compensation or notification to you.
Rights to Publicity:
By participating in the Video, you grant the Channel permission to use your name, likeness, voice, biographical information, and any other personal or professional information you provide in connection with the Video. You agree that the Channel may use, reproduce, distribute, publicly display, and publicly perform this information for promotional and marketing purposes related to the Video or the Channel without any further compensation or notification to you.
Representations and Warranties:
You represent and warrant that:
a. You have the legal capacity and authority to enter into this Agreement and grant the rights and releases contained herein.
b. The Video and any materials provided by you do not infringe upon the intellectual property rights or other proprietary rights of any third party.
c. The Video and any materials provided by you comply with all applicable laws, regulations, and guidelines, including but not limited to those governing privacy, defamation, and obscenity.
d. You have obtained any necessary consents, releases, or permissions from any individuals appearing in the Video or whose intellectual property rights may be affected by its use.
Indemnification:
You agree to indemnify, defend, and hold harmless the Channel, its owners, operators, affiliates, and employees from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising out of or related to your participation in the Video or any breach of this Agreement.
Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
Entire Agreement:
This Agreement constitutes the entire agreement between you and the Channel regarding your participation in the Video and supersedes all prior or contemporaneous understandings, agreements, or representations, whether oral or written.
By participating in the Video, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions.
If you do not agree to the terms and conditions of this Agreement, please do not participate in the Video.
