1. Introduction
These Terms and Conditions ("T&C") govern the use of the platform provided by Portality (Pty) Ltd, a company
registered in Cape Town, South Africa ("Portality"). By accessing and using our platform, you ("User" or "Real Estate
Agent") agree to comply with and be bound by these T&C. If you do not agree with these T&C, you must refrain from
using the platform.
2. Services Provided
Portality provides a platform that utilizes third-party services to offer real estate agents (or users) tools for
revisualizing residential properties. These services are intended to enhance the experience for prospective buyers
during in-person house showings by providing conceptual visualizations of properties in a specified style determined
by Portality's proprietary algorithm.
3. Artwork
3.1 The platform allows prospective buyers to complete a questionnaire that helps determine a buyer’s style aligned
with their preferences. The property on show will then be presented in its existing form, followed by a revisualized
artwork.
3.2 All artwork is strictly conceptual artwork and is not to be considered architectural plans or accurate real-world
depictions. The artwork presented is at the sole discretion of Portality, and real estate agents have no control over
or veto rights concerning the final artwork outcomes.
4. Responsibilities of Real Estate Agents (or user)
4.1 Consent from Sellers: By using this platform, real estate agents warrant that they have obtained explicit consent
from the property seller to use Portality’s platform, including consent to share existing and revisualized artwork with
prospective buyers.
4.2 Photo Content: Agents (or users) are responsible for submitting base photos (exterior and/or interior) that do not
contain sensitive content, such as license plates, personal information, or other identifiable details. Submitted photos
must be of reasonable quality. Portality reserves the right to request alternative photos if the provided ones do not
meet the required standards for appropriate reimagining.
4.3 Property Restrictions: Agents (or users) must ensure that properties submitted for revisualization are not heritage
buildings or subject to Homeowner Association (HOA) design restrictions. Properties with such restrictions must not
be submitted to the platform. Agents are solely responsible for ensuring compliance with these restrictions.
5. Liability and Indemnity
5.1 Indemnification: Real estate agents (or users) agree to indemnify, defend, and hold harmless Portality, its
officers, directors, employees, and affiliates from any claims, demands, or legal actions brought by property sellers
or other third parties related to the use of the platform. This includes, but is not limited to, claims arising from the
misuse of photos, lack of consent, or misrepresentation of revisualized artwork.
5.2 Limitation of Liability: Portality shall not be liable for any direct, indirect, incidental, special, or consequential
damages arising out of or in connection with the use of the platform, including but not limited to errors or omissions
in the revisualized artwork, loss of data, loss of profits, or any other loss or damage.
6. Communication to Prospective Buyers
Real estate agents (or users) must clearly communicate to prospective buyers that revisualized artwork outcomes
are purely conceptual and not real or architectural work. Any intended future replication of the revisualized artwork
in the real world would need to undergo, but is not limited to, separate and full architectural, structural, municipal,
procurement, construction, and development processes, all of which would be at the buyer's cost. Agents are
responsible for any claims made by property buyers related to the use of the platform.
7. Intellectual Property
All content, including artwork but excluding “base photos” of sellers property, is the intellectual property of Portality
and is protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable
license to use the platform solely for the purposes outlined in these T&C. Unauthorized use of the content may result
in legal action.
8. Modifications to the Platform and T&C
Portality reserves the right to modify, suspend, or discontinue the platform or any part thereof at any time without
prior notice. Additionally, Portality may update these T&C periodically, and continued use of the platform constitutes
acceptance of any such changes. Users are encouraged to review the T&C regularly.
9. Governing Law and Jurisdiction
These T&C are governed by and construed in accordance with the laws of South Africa. Any disputes arising from
or in connection with these T&C shall be subject to the exclusive jurisdiction of the courts of South Africa.
