Contractual Terms and Conditions:

By accepting this commercial proposal, the CONTRACTING PARTY undertakes to comply with the commercial and legal conditions set forth herein.

If no other future document governs the commercial relationship between the CONTRACTING PARTY and the CONTRACTED PARTY, the provisions of the commercial proposal will apply exclusively.

If a service provision agreement (“Agreement”) is entered into between the CONTRACTING PARTY and the CONTRACTED PARTY, the provisions of the Agreement shall prevail, subsidiarily applying the conditions of the commercial proposal.

When applicable, the CONTRACTING PARTY will be entitled to 02 (two) rounds of changes at no additional cost, for each video produced by the CONTRACTED PARTY, after the first presentation of the version thereof, provided that there are no changes to the script previously sent and approved by the parties. In case of changes to an already approved itinerary, fees may be charged that are calculated according to the complexity of the modification.

The CONTRACTING PARTY will have a period of 07 (seven) days, counted from the receipt of the video, to request such changes. After this deadline, the video will be considered finished. Extra changes will be charged separately.

Versions for approvals and requests for adjustment in the videos will be made online, through review links on the Wolkie.io platform made available by the CONTRACTOR.

The delivery of files up to 5GB will be via Dropbox.com, GoogleDrive or Wetransfer.com links. For files larger than 5GB, the CONTRACTING PARTY must provide an External HD for copying the material.

The CONTRACTOR will not store the materials produced, unless expressly contracted and priced.

In case of delay in payment, after 07 (seven) days of payment due, the pending will be automatically sent for protest, being the CONTRACTING PARTY responsible for the legal costs and any legal fees.

If there is a cancellation of the service to be provided, technical staff, cast, rentals or studio reservation with less than 02 (two) business days in advance, the CONTRACTING PARTY will be charged a fine of 50% of the daily rate of the service that would be performed .

The CONTRACTING PARTY already allows that the services performed by the CONTRACTED PARTY can be mentioned in the prospection of new customers, as well as having its name listed on the website and graphic material of the CONTRACTED PARTY as its client.

Any production or post-production services not specified in this proposal must be quoted separately. For production authorization, acceptance of the terms of this commercial proposal is required, which will be formalized through confirmation by email, WhatsApp or other written formalization and sent to the CONTRACTOR's legal representatives.
