HOLD HARMLESS, RELEASE AND INDEMNITY AGREEMENT

For consideration acknowledged and received, the person signing this Release and Indemnity Agreement (such person, the “User” and such agreement, the “Agreement”) hereby acknowledges the following representations and agrees to the following hold harmless, release, and indemnification in favor of CBRE, Inc. AS AGENT FOR 150 North Riverside Titleholder L.L.C., (“Owner”) its officers, directors, employees, agents, lenders, servants, representatives, successors, heirs, assigns and executors, and each of their past, present and future subsidiaries, affiliates, successors and assigns and each of their respective officers, directors, agents and employees (Owner and the other aforementioned, collectively, the “Released Parties”):

1. The User is a Contractor performing work in the building located at 150 N. Riverside Plaza., Chicago IL (the “Building”).

Owner hereby grants permission to User to perform work and may revoke such permission at any time. User understands and acknowledges that performing work entails certain risks and User accepts those risks.

2. User, for himself/herself and his/her representatives, heirs, assigns and next of kin, hereby releases, saves, holds harmless and forever discharges each of the Released Parties from and with respect to any and all duties, obligations, responsibilities, liabilities, losses, damages, costs, fees, expenses, claims, suits, actions, investigations, proceedings, demands, settlements, losses, awards and judgments of any nature or description whatsoever (including, without limitation, legal fees and costs) incurred, suffered or sustained by User or User’s representatives, heirs, assigns or next of kin and arising out of or in connection with User’s performance of work, and whether arising before, as of or after the date hereof and whether known or unknown, including, without limitation, all matters at law, in equity, in contract or in tort.

3. User, for himself/herself and his/her representatives, heirs, assigns and next of kin, hereby agrees to indemnify and defend the Released Parties from and with respect to any and all duties, obligations, responsibilities, liabilities, losses, damages, costs, fees, expenses, claims, suits, actions, investigations, proceedings, demands, settlements, losses, awards and judgments of any nature or description whatsoever (including, without limitation, legal fees and costs) incurred,suffered or sustained by the Released Parties in connection with User’s performance of work.

4. User further expressly agrees that the foregoing is intended to be as broad and inclusive as is permitted by the laws of the State of Illinois and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

5. User has read this Release and Indemnity Agreement, and further agrees that no oral representations apart from the foregoing written agreement have been made.
