PMA Notes

Keala Email Thread
Greetings, In parallel to the exploration on the PMA,I wanted to share a bit more context on the thinking that went into legal structures so far at Atlan; and also some of the wisdom for us to consider from the Intentional Communities movement. Skimming or diving into the is worthwhile for understanding the complex field as well as some of the tried and true methods. It's possible they could have an update with a chapter on PMAs based on the (re)emergence of that strategy recently. Another timeline note: We sent La and Holly to a training at OAEC (one of the examples in the attached article of communities using multiple legal entities together which was part of our inspiration for how Atlan and CultureSeed would work together. Ithaca is another good example for us to look at from the same section of the article that have a non-exempt nonprofit - though not explicit what class*)
Regarding the revisions to the Atlan LLC Operating Agreement I think it is best if everyone read it thoroughly and then comment with ideas and considerations for where edits or updates could be proposed and how those might relate to any other legal entities we might also be proposing. I am excited for this next chapter for Atlan and I look forward to feeling spacious and coherent as we explore strategies and share proposals for how to weave our way with greatest alignment and synergy. Something I have continued inspiration around is the potential to create an advisory board which among other benefits can strengthen proposals for funding - it's similar to the approach of building out our team fully as well and will look good in a pitch deck .. .. inspiring times!
Bookmarking that we didn't really get through assembling proposed edits on the Stewardship Council Agreement during our SC Community Renewal session so I wanted to give us all a nudge to continue to understand our Roles and Contributions for our upcoming meeting and also to move forward with proposed edits to a point that we might have an updated document to formally propose. More on the CLOU (colleague letter of understanding) and how we can use a Member Agreement/Contract as a basis for clarifying Accountabilities/Contributions and Benefits coming soon - possibly a chunk of time in the next SC Meeting.
Margo Email Thread
Greetings, I have now reached out to both David Edwards at PMA Power and Mike Colomb at The PMA team. I have not heard back on either yet. However, another man, Aaron Bowman, founder of East Coast PMA has an online schedule set up for preliminary consultations. It is $50 for the initial 45 minute consultation - and that amount goes to the total cost of our documents if we decide to use Aaron as our consultant to write our PMA docs.
Here is a link to his website:
https://eastcoastpma.com/schedule-consultations/
And here is a link to his youtube channel -
https://www.youtube.com/watch?v=QQ7H18-yF7w&t=510s
I have watched some of Aaron's content and I feel good about consulting with him. He studied with David Edwards. I can schedule the consultation almost any day of the week anytime from 6am - 2:!5pm. Does anyone have any objections to me scheduling this consultation? Further, please let me know who would like to join and what days/times work for you. Thank you!
Keala: I realized a separate thread would be better for this and thanks Margo for sending a general follow up email too - The important conversation about safety and liability reminded me last night to check in about our current insurance in relation to our community events (such as community dance that we had last weekend) and also the more regular activities such as the Community Garden. I know that Holly used to be our Insurance liaison - and that initially we envisioned CultureSeed continuing to be more involved in the community here for events and programs ..
This feels important to understand in relation to the PMA convo and liability in general - I do have another 501c3 that we can work with as a fiscal sponsor for the learning programs and can probably include the Garden in that as part of the holistic vision of Atlan as learning center .. This can be a thread at the business planning meeting though I felt to initiate a thread for some convo asynchronously now as a follow on from the meeting.
